Terms of Service

These Terms of Service ("Terms") govern your access to and use of Modari, a modular SaaS platform operated by EDF GLOBAL GROUP LLC ("EDF", "we", "us"), a limited liability company incorporated in Delaware, United States. By creating an account, activating a module or using Modari in any way, you accept these Terms. If you do not agree, do not use the service.
1. The service
Modari is a modular cloud SaaS platform. Today we offer the CRM module (contact management, pipeline, unified WhatsApp inbox, AI chatbots, catalog and orders). We may add, modify or retire modules and features over time. We will notify you by email of material changes affecting core functionality at least 30 days in advance.
2. Your account
You must be at least 18 years old, have legal capacity and provide accurate information to create an account. One subscription allows one active account per workspace. You are responsible for maintaining the confidentiality of your credentials, for all activity under your account and for notifying us immediately of any unauthorized access at [email protected]. We recommend enabling WhatsApp 2FA.
3. Acceptable Use Policy (AUP)
You agree not to use Modari to: (a) send spam, phishing, unsolicited messages or bulk outreach that violates anti-spam laws (CAN-SPAM, CASL, GDPR Art. 21, Colombia's Law 1581) or WhatsApp Business policies; (b) harass, threaten, or distribute hate speech or content that violates human rights; (c) host unlawful content in any applicable jurisdiction, including content infringing third-party IP rights; (d) process minors' data without legally required parental consent; (e) process Protected Health Information (PHI) without a Business Associate Agreement (BAA) signed with us (not offered today); (f) impersonate persons, entities or relationships; (g) reverse engineer, decompile, resell, sublicense or create derivative works of Modari; (h) scrape data from third parties without their consent; (i) mine cryptocurrencies, run workloads unrelated to CRM or consume resources disproportionately; (j) provide services to persons or entities in OFAC-sanctioned countries (including Cuba, Iran, North Korea, Syria, Crimea, occupied regions) or persons on sanctions lists (SDN, EU Consolidated, UN); (k) violate Meta's WhatsApp Business policies. We may suspend or terminate accounts violating this AUP immediately and without refund.
4. WhatsApp and Meta integration
Modari connects to WhatsApp via the official WhatsApp Business API or via QR for personal/business WhatsApp. You are responsible for complying with the WhatsApp Business Terms and Commerce Policy of the official WhatsApp operator, including the 24-hour window, template rules, opt-in requirements and content prohibitions. You acknowledge the official WhatsApp Business operator acts as an independent Subprocessor when you use the official Business API. Modari is not affiliated with, sponsored by, or endorsed by said operator. Any suspensions or restrictions the operator applies to your WhatsApp account are outside our control.
5. AI chatbots
Chatbots in Modari use language models from external AI providers. Outputs may have inaccuracies, biases or hallucinations. You are responsible for reviewing responses and configuring appropriate rules and templates for your industry. Do NOT use chatbots to provide medical, legal, financial, tax, psychological or any other regulated advice without competent human review. Do NOT use chatbots to make automated decisions with significant legal effects on persons (prohibited by GDPR Art. 22).
6. Subscription, payments and billing
Payments are processed via Stripe. EDF GLOBAL GROUP LLC is the registered Merchant of Record. Plans are billed in advance in monthly cycles in your country's currency (USD, COP or MXN). Prices may be updated with 30-day prior email notice. Local taxes (VAT, sales tax) are calculated automatically when applicable and added to the displayed price. You authorize Stripe to charge your registered payment method on each renewal until you cancel. If a charge fails, we will retry and suspend the service if not resolved within 14 days.
7. Invitation codes and free trial
If you sign up with a valid invitation code (e.g. BEECORES-XXXX-YYYY), your subscription starts with a free trial period equal to the code's duration (typically 14 days). During the trial we register your payment method but do not charge anything. If you do not cancel before the end of the trial, the subscription activates automatically and the first cycle is billed. If you sign up without an invitation code, the charge is immediate upon confirming payment.
8. Refunds
Our Refund Policy at /refund forms an integral part of these Terms. In summary: if you signed up without an invitation code you have the right to a full refund within 7 calendar days of the first charge; if you signed up with an invitation code (14 free days), refunds do not apply after the first post-trial charge because you had enough time to evaluate the service. Plans have no lock-in — you can cancel anytime and keep access until the end of the paid period. If you reside in EU/EEA, you keep the 14-day right of withdrawal under Directive 2011/83/EU.
9. Intellectual property
Modari, its source code, design, trademarks, logos, documentation and all associated rights are owned by EDF GLOBAL GROUP LLC. You retain full ownership of the content you store in Modari (contacts, messages, products, orders, templates). You grant us a limited, non-exclusive, revocable license to host, process, transmit and display such content solely to provide the service. Any feedback you send us we may use freely without obligation to you.
10. Customer data and privacy
Personal data processing is governed by our Privacy Policy at /privacy. You act as the data Controller over your customers' data uploaded to Modari, and EDF GLOBAL GROUP LLC acts as Processor. We offer a Data Processing Agreement (DPA) on request to [email protected], with EU Standard Contractual Clauses incorporated.
11. Subprocessors
The updated Subprocessor list is at /privacy. We will notify you by email at least 30 days in advance if we add a material Subprocessor. You may object by cancelling your subscription before the change.
12. Customer responsibilities
By using Modari you accept the following responsibilities: (a) keep your credentials secure and confidential; (b) do not share your account with third parties (one subscription = one account); (c) immediately notify us at [email protected] of any unauthorized access; (d) keep your contact email and billing details up to date; (e) maintain your own backups of critical content — Modari offers export but is NOT a backup service; (f) monitor your service usage and the messages sent through your WhatsApp integration; (g) comply with all laws applicable to your use of Modari, including data protection, anti-spam, e-commerce and intellectual property laws of your jurisdiction and that of your end customers; (h) obtain all required consents from your end customers before uploading their data to Modari.
13. Third-party and customer content
Modari is a platform — we do not create, monitor or endorse content that you or your end customers upload, send or receive through the service (including WhatsApp messages, catalog products, chatbot templates, contacts, files). You are solely responsible for content under your account. EDF GLOBAL GROUP LLC is NOT liable for claims arising from such content, its accuracy, legality or consequences of use. We may remove content without notice if we receive a credible notification of violation of these Terms, third-party rights, or if a competent authority requires it.
14. Platform status and service availability
Modari is in a state of continuous improvement and development. We make best effort to provide the highest stability and availability possible and, if anything fails, our priority is to fix it as soon as possible. However, we do NOT guarantee: (a) uninterrupted uptime. The service may have planned interruptions (maintenance) or unplanned ones (third-party provider failures, bugs, cyberattacks, restrictions by the official WhatsApp operator); (b) that individual features will remain available indefinitely — we may retire, modify or replace functionality at any time; (c) that your messages will reach the expected destination in all cases (a WhatsApp message may not be delivered if the official operator restricts your account or the recipient does not respond within the 24-hour window); (d) that AI chatbots will produce accurate, appropriate or unbiased responses for your use case; (e) compatibility with specific third-party systems, browsers or platforms; (f) that the service meets specific business expectations or requirements not agreed in writing. We do NOT offer a contractual SLA or uptime guarantee. We do NOT issue automatic credits for downtime or monetary refunds for service interruptions. In case of material incidents that significantly affect your use of the service we may offer compensation at Modari's discretion, consisting of free extensions to your subscription (additional days or months at no charge) — NEVER monetary refunds. These compensations are discretionary and do not constitute a contractual right.
15. Limitation of liability and warranty disclaimer
WARRANTY DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODARI IS PROVIDED "AS IS" AND "AS AVAILABLE". EDF GLOBAL GROUP LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, ACCURACY OF RESULTS, DATA INTEGRITY, COMPATIBILITY WITH THIRD-PARTY SYSTEMS, OR THAT THE SERVICE WILL BE FREE OF ERRORS, VIRUSES, MALWARE OR VULNERABILITIES. LIMITATION: Our aggregate total liability for any claim arising from your use of Modari (whether in contract, tort, breach of warranty or any other legal theory) is limited to the greater of: (a) the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100. We are NOT liable for indirect, incidental, special, consequential, punitive, exemplary damages, or loss of profits, revenue, data, business opportunity, reputation or anticipated savings, even if advised of the possibility. This limitation does NOT apply to damages caused by our willful misconduct, fraud or gross negligence, nor to non-waivable consumer rights under applicable law.
16. Indemnification
You agree to indemnify and hold harmless EDF GLOBAL GROUP LLC, its affiliates, directors, employees, agents and subcontractors against any third-party claim, demand, damages, fines, penalties, costs or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms, the Acceptable Use Policy or any other Modari policy; (b) your violation of applicable laws, including data protection, anti-spam, IP, e-commerce, sanctions or export-control laws; (c) the content you upload, send or receive through Modari; (d) your misuse of the WhatsApp integration or AI chatbots; (e) any claim from your end customers or third parties arising from your use of the service.
17. Suspension and termination
We may suspend or terminate your account immediately and without refund if: (a) you violate these Terms or the AUP; (b) the account accumulates unresolved chargebacks or payment disputes; (c) it represents security or legal risk to us or other users; (d) a charge remains unpaid for more than 14 days; (e) required by competent authority order or for sanctions compliance reasons. You may terminate at any time by cancelling from Settings → Billing. After termination, your data is retained for 30 days for recovery and then deleted per our Privacy Policy.
18. Force majeure
Neither party will be liable for failure or delay in performing obligations (other than the obligation to pay sums due) when such failure or delay results from events beyond its reasonable control, including but not limited to: acts of government or public authority, war, terrorism, civil unrest, mass cyberattacks, pandemics or health emergencies, natural disasters, failures, suspensions or withdrawals of services from critical providers (including the payment processor, the official WhatsApp operator, cloud compute providers, AI model providers, transactional email providers), generalized telecommunications or power outages, restrictions imposed by the WhatsApp Business operator on your account or on our account. The affected party will notify the other as soon as reasonably possible and will resume performance once the event ceases. Force-majeure events do NOT entitle you to refund or credit.
19. Assignment
You may not assign, transfer, sublicense or delegate these Terms or your account without our prior written consent. Any attempted assignment without consent is void. EDF GLOBAL GROUP LLC may freely assign these Terms to an affiliate, successor or acquirer of the business (by sale, merger, restructuring or otherwise) without your consent, with notice by email after the fact.
20. Sanctions and export controls
You represent and warrant that: (a) you are NOT a national, resident, or located in countries or regions sanctioned by OFAC (including Cuba, Iran, North Korea, Syria, Crimea, occupied regions or other current designations); (b) you are NOT included in sanctions lists of the United States, European Union, United Kingdom, United Nations or other applicable authorities (SDN, EU Consolidated List, UK HMT, UN); (c) you will NOT use Modari to violate United States export-control laws (including EAR and ITAR) or to re-export the service or data to restricted destinations. Any breach of this clause entitles EDF to immediately terminate your account without refund.
21. No partnership relationship
These Terms do not create any partnership, joint venture, agency, fiduciary, employment, franchise or similar relationship between you and EDF GLOBAL GROUP LLC. Neither party has authority to bind the other or represent that it has such authority. The parties are independent contractors.
22. Notices
Legal notices under these Terms will be deemed delivered when: (a) we send them by email to the address registered on your account; (b) we publish them inside the product as a visible notification; (c) you send them by email to [email protected] from the address registered on your account. It is your responsibility to keep your account email up to date. Notices are deemed effective on the date of dispatch.
23. Modifications to these Terms
We may update these Terms. Material changes take effect 15 days after we notify you by email or in-product. The "last updated" date indicates the current version. Continued use after the effective date means acceptance. If you disagree with a material change, you may terminate your subscription during the notice period. Minor changes (typos, clarifications, updates to already authorized Subprocessors) may take effect without prior notice.
24. Dispute resolution: informal mediation and arbitration
Before initiating formal arbitration, the parties agree to attempt in good faith to resolve any dispute through informal mediation by email during a period of sixty (60) days from the first notice of the dispute sent to [email protected]. If the dispute is not resolved during that period, it will be definitively resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Rules, seated in Wilmington, Delaware, United States, in English, before a single arbitrator. YOU WAIVE THE RIGHT TO BRING OR PARTICIPATE IN CLASS ACTIONS AND TO TRIAL BY JURY. Notwithstanding the foregoing, EDF may seek injunctive relief in any competent jurisdiction to protect its IP rights, confidential information or to stop a material breach of these Terms. If you reside in the European Union, United Kingdom or jurisdictions whose mandatory law grants consumer rights, those rights apply notwithstanding this clause.
25. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any claim not subject to arbitration will be brought in the state or federal courts located in the State of Delaware.
26. Severability
If any provision of these Terms is found invalid, illegal or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable or, if not possible to modify, will be deemed severed from the rest. The remaining provisions remain in full force and effect. The invalidity of a specific provision does not invalidate the rest of the agreement.
27. Entire agreement
These Terms, together with the Privacy Policy, the Cookie Policy, the Refund Policy and any written agreement signed between the parties, constitute the entire agreement between you and EDF GLOBAL GROUP LLC regarding the Modari service. They supersede all prior communications, proposals, statements or verbal or written agreements related to the subject matter of these Terms. No statement outside these documents creates a contractual obligation.
28. Survival
The following clauses survive termination or expiration of these Terms: 9 (Intellectual property), 10 (Customer data and privacy), 12 (Customer responsibilities), 13 (Third-party content), 15 (Limitation of liability and warranty disclaimer), 16 (Indemnification), 18 (Force majeure), 20 (Sanctions), 22 (Notices), 24 (Dispute resolution), 25 (Governing law), 26 (Severability), 27 (Entire agreement), 28 (Survival), 29 (Aggregated data), 30 (Miscellaneous), 31 (Contact).
29. Aggregated data and internal metrics
EDF GLOBAL GROUP LLC may collect, use and indefinitely retain aggregated, anonymized and/or de-identified data derived from service usage (volumes, performance metrics, usage patterns, statistical data) to improve Modari, generate internal benchmarks, optimize infrastructure, train our own analytical models and develop new functionality. Such data does not allow identification of you, your business or your end customers individually, and may be retained even after your subscription ends.
30. Miscellaneous
(a) No waiver: our failure to exercise a right under these Terms does not constitute a waiver of that right or any subsequent right. (b) Electronic acceptance: accepting these Terms electronically (click, checkbox, use of the service) has the same legal effect as a handwritten signature under the E-SIGN Act and applicable laws. (c) No third-party beneficiaries: these Terms are between you and EDF — no third party has enforceable rights under these Terms. (d) Headings: section titles are for reference only and do not affect interpretation. (e) Language: the English version of these Terms will prevail in case of discrepancy with the Spanish translation, except where mandatory local law requires otherwise.
